These Terms of Service ("Terms") govern your access to and use of the Hospital Staffing Partners LLC ("HSP", "we", "us", or "our") website, provider platform, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Acceptance of Terms

By creating an account, logging in, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. These Terms may be updated from time to time; continued use of the Platform after changes constitutes acceptance of the revised Terms.

2. Accounts & Registration

  • You must provide accurate, current, and complete information during registration and keep your account information updated.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must notify HSP immediately at support@hospitalstaffingpartners.com if you suspect unauthorized use of your account.
  • You may not share your account credentials or allow others to access the Platform using your account.
  • HSP reserves the right to suspend or terminate accounts that are inactive, fraudulent, or in violation of these Terms.

3. Provider Obligations

As a healthcare provider using the Platform, you represent and warrant that:

  • All credentials, licenses, certifications, and professional information you provide are accurate, current, and valid.
  • You will promptly notify HSP of any changes to your licensure status, disciplinary actions, investigations, restrictions on your practice, or any event that may affect your ability to provide healthcare services.
  • You hold all licenses and certifications required to practice in the jurisdictions where you accept staffing assignments.
  • You will comply with all applicable laws, regulations, and professional standards in the performance of your duties.
  • You will comply with the policies and procedures of each healthcare facility where you are assigned.

4. Platform Features & Acceptable Use

The Platform provides features including but not limited to: provider onboarding, credentialing, availability management, timesheet submission, document management, GPS check-in, in-app messaging, and payroll information access. You agree to:

  • Use the Platform solely for its intended purpose in connection with your staffing engagement with HSP.
  • Not attempt to access features, data, or accounts for which you are not authorized.
  • Not interfere with or disrupt the Platform's operation, security, or other users' access.
  • Not upload malicious files, viruses, or content that is offensive, defamatory, or illegal.
  • Not scrape, harvest, or systematically collect data from the Platform without express written permission.

5. Credentialing & Documents

You are responsible for uploading accurate and current credential documents. HSP may share your credentialing documents with healthcare facilities for the purpose of privileging and compliance verification. Sensitive documents (such as Social Security cards) are subject to enhanced privacy protections and are not viewable through the platform — a privacy placeholder is displayed instead. HSP retains credential documents in accordance with healthcare facility requirements and industry standards.

6. Timesheets & Payroll

  • You are responsible for accurately reporting your hours worked, shift types, and any expenses incurred.
  • Timesheets must be submitted in a timely manner as instructed by your account manager.
  • Submitted timesheets are subject to review and approval by HSP. HSP may request corrections if discrepancies are identified.
  • Payroll is processed through Paylocity. Access to pay stubs and tax documents is available through Paylocity's platform.
  • Submitting false or misleading timesheet data is grounds for immediate termination of your engagement and may result in legal action.

7. Electronic Signatures

By electronically signing documents through the Platform (including confirmation letters, acknowledgement forms, and contracts), you agree that:

  • Your electronic signature is legally binding and has the same effect as a handwritten signature under applicable e-sign laws (including the federal ESIGN Act and state equivalents).
  • HSP may record your IP address, browser information, and timestamp at the time of signing for audit and non-repudiation purposes.
  • You consent to receive and sign documents electronically rather than in paper form.

8. GPS Check-In

Some assignments may require you to use the GPS check-in feature to confirm your presence at a facility. By using this feature, you consent to the collection of your geographic location at the time of check-in. Location data is used solely to verify shift attendance and is not used for continuous tracking. See our Privacy Policy for more information about location data handling.

9. Communications

  • By creating an account, you consent to receive transactional and service-related communications from HSP via email, in-app messages, and SMS.
  • These communications may include: onboarding reminders, credential expiration notices, timesheet reminders, assignment updates, and system announcements.
  • You may opt out of non-essential marketing communications by contacting us, but you cannot opt out of transactional communications related to your active engagement.
  • HSP monitors email communications sent from company-managed email accounts as described in our Privacy Policy.

10. Confidentiality

In the course of your engagement, you may have access to confidential information about HSP, its clients, patients, or other providers. You agree to:

  • Maintain the confidentiality of all proprietary information, including client facility details, rate information, and business processes.
  • Comply with HIPAA and all applicable healthcare privacy regulations.
  • Not disclose patient information, facility operational details, or HSP business information to unauthorized parties.

11. Intellectual Property

The Platform, including its design, code, content, and branding, is the proprietary property of HSP and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works from any part of the Platform without HSP's express written consent.

12. Termination

  • Either party may terminate the engagement at any time, subject to the terms of any applicable staffing agreement.
  • HSP may suspend or terminate your account immediately if you violate these Terms, provide false information, or engage in conduct that is harmful to HSP, its clients, or patients.
  • Upon termination, your access to the Platform will be disabled. HSP will retain your data in accordance with our data retention policy as described in the Privacy Policy.

13. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HSP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF INCOME, OR INTERRUPTION OF SERVICE.

HSP's total liability for any claim arising from or related to the Platform shall not exceed the amounts paid to you by HSP in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless HSP, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation.

15. Dispute Resolution

Any disputes arising from or related to these Terms or your use of the Platform shall be governed by the laws of the State of Florida without regard to its conflict of law provisions. The parties agree to attempt to resolve disputes through good-faith negotiation before pursuing formal legal proceedings. Any legal action shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida.

16. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any applicable staffing agreements, constitute the entire agreement between you and HSP regarding the Platform.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: The failure of HSP to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your account or any rights under these Terms without HSP's written consent.
